Tiivistelmä:Using a sample of 210 Swiss publicly listed firms, this paper analyzes the characteristics (henceforth as: chars.) of all 1678 directors (here as: dirs.) in the year 2003 to examine how board (as: brd.) members' nationality and gender interact with directors' level of independence, number of other directorships (here as: d-ship/s) and demographic chars. It is suggested that while foreign directors (as: f-dirs.) tend to be more independent, women dirs. are more likely to be affiliated to firm management through family ties and that f-dirs. hold significantly lower numbers of d-ship/s at other Swiss boards. Female and f-dirs. also differ as to their educational (as: edc-al.) background, edc-al. level, age and brd. tenure. It is concluded that to manage diversity on corporate brds., it is imperative to understand the chars., qualifications and affiliations brought by these directors etc.
