Tiivistelmä:Previous research has located the issue of "professional" conduct with consultancy predominantly within the relationship between the manager and the consultant, but recent studies indicate that dealing professionally with consultancy may fail due to goal divergences between the individual managers and the organization. This article aims to re-examine this assumption theoretically. It draws on agency theory and focuses on a single case study. The examination indentifies certain attitudes exhibited by managers, which hinder dealing with consultancy in a professional manner across the entire organization. Furthermore, the paper attempts to analyze the adequacy of governance measures since the managers' attitudes deviate from the company's goals in dealings with the consultancy. Several researches have revealed that companies mostly use control-based measures to govern managers dealing with consultancy, but these measures are not readily accepted by managers. This study examines alternative measures, summarized as incentive-based measures.
