Abstract (eng): | Motives for mergers and acquisitions (M&As) have been questioned since previous literature has shown controversial results for the shareholders of acquiring firms. Large acquisitions have been observed to perform worse than small acquisitions or even to cause massive losses. It has been debated if prior acquisition experience leads to better results in subsequent deals. The returns of acquirers are also affected by merger waves, where several acquisitions are announced in a same industry within a short time period. The purpose of this study is to investigate the performance of large acquisitions, and test if acquisition experience and M&A activity within the industry of the acquirer have effect on returns. In this study, the acquisition performance is measured with cumulative abnormal return (CAR) of the acquirer during a deal announcement, and the hypotheses are tested with regression models explaining CARs of large acquisitions made by S&P 1500 firms during 1996 - 2012. I find that on average large acquisitions perform worse than small deals, partly because most of the large deals are acquisitions of public firms. The results show a negative impact from increased industry-level M&A activity on the performance of large acquisitions. This suggests that during a merger wave, competition increases the valuations of targets while early bidders acquire the best targets. The effect of prior experience is not straightforward, but in some cases prior experience leads to better performance in large acquisitions. Too busy acquirers may face negative returns in subsequent large acquisitions, because large deals require intensive managerial attention. This effect was not observed among small acquisitions. Furthermore, the results of the study support existing literature about the effects of ownership status of the target, industry relatedness between the target and the acquirer, and whether the deal was paid with cash or stock. |
Abstract (fin): | Aiempi tutkimus yritysostoista ja fuusioista on osoittanut tulosten olevan kyseenalaisia ostavan yrityksen osakkeenomistajille. Suuret yritysostot onnistuvat keskimäärin pieniä huonommin ja joissakin tapauksissa ne johtavat suuriin tappioihin. Aiemman ostokokemuksen vaikutuksista tuloksiin seuraavissa yrityskaupoissa ei olla yhtä mieltä. Myös ostajan toimialan yrityskauppa-aktiivisuus vaikuttaa julkistuksen kurssireaktioihin. Tämän tutkimuksen tarkoituksena on tutkia suurten yrityskauppojen onnistumista, ja mikä vaikutus siihen on aiemmalla ostokokemuksella sekä toimialan yrityskauppa-aktiivisuudella. Yritysoston onnistumista mitataan ostojen julkistuksen osakekurssireaktioilla ja hypoteeseja testataan regressiomalleilla, joilla selitetään suurten yrityskauppojen julkistusten kurssireaktioita. Otoksena ovat S&P 1500 yritysten tekemät suuret yrityskaupat vuosilta 1996 - 2012. Tutkimustulokset vahvistavat suurten yrityskauppojen menestyvän pieniä heikommin; mitä suurempi kaupan arvo, sitä huonompi osakekurssireaktio. Lisääntynyt yrityskauppa-aktiivisuus eli yrityskauppa-aalto ostajan toimialalla vaikuttaa negatiivisesti suurten yrityskauppojen onnistumiseen, mikä johtuu kohonneista kauppahinnoista sekä hyvien ostokohteiden puutteesta, koska varhaiset ostajat vievät parhaat kohteet. Tutkimuksessani en löydä tilastollisesti merkitsevää lineaarista yhteyttä ostokokemuksen ja suuressa yrityskaupassa onnistumisen välillä, mutta heikkoa tukea tälle väitteelle on. Ostajat, jotka ovat kiireisiä edellisen suuren yritysoston sulauttamisessa, saattavat menestyä heikosti uusissa kaupoissa, koska suuret yrityskaupat vievät paljon ylimmän johdon aikaa. Tulokset tukevat aiempaa tutkimusta ja osoittavat, että ostokohteen omistajuus (yksityinen tai julkinen), maksutapa (käteinen tai osakkeet) sekä kohteen ja ostajan toimialojen samankaltaisuus vaikuttavat yritysoston julkistuksen kurssireaktioon. Suuret yritysostot luovat keskimäärin pieniä ostoja vähemmän arvoa myös siksi, että suurempi osuus suurista kaupoista kohdistuu julkisiin kohteisiin. |
