Opening a thesis

  • On the desktop of the customer computers, you will find an icon titled:

  • Click on the icon to search for and open the thesis you are looking for from Aaltodoc database. You can find the thesis file by clicking the link on the OEV or OEVS field.

Reading the thesis

  • You can either print the thesis or read it on the customer computer screen.
  • You cannot save the thesis file on a flash drive or email it.
  • You cannot copy text or images from the file.
  • You cannot edit the file.

Printing the thesis

  • You can print the thesis for your personal study or research use.
  • Aalto University students and staff members may print black-and-white prints on the PrintingPoint devices when using the computer with personal Aalto username and password. Color printing is possible using the printer u90203-psc3, which is located near the customer service. Color printing is subject to a charge to Aalto University students and staff members.
  • Other customers can use the printer u90203-psc3. All printing is subject to a charge to non-University members.

Abstract (eng):The work of the board has been a hot topic since the big accounting scandals of the early 21st century.
Many institutional investors and stock exchanges have published with an increasing frequency new tighter corporate governance codes of good practices.
The exigency of boards has increased.
The aim of this study was to find out which changes in the operational environment have affected board work and what the critical success factors of the board of directors are; the most important tasks and which structural factors are related to good corporate governance.

The literature research covered the critical success factors, the most important tasks, practices, and structural factors which were searched from the existing board literature and corporate governance codes.
The most important factors were justified based on researched correlations of the factors to firm performance.

The qualitative empirical part of the study was composed of two parts.
In the first part, 19 Finnish board professionals where interviewed based on research questions using the purpose-oriented search method.
The results were retested using the Learning Café methodology.
In the second empirical part, a case study was carried out using three boards that were interviewed with an extended questionnaire.

The results support the existing knowledge, but placed more emphasis on the importance of board room collaboration than existing literature indicates.
The need for networking, the challenges related to globalization, the greater attention focused on good corporate governance by investors and stock exchanges, and finally, the accelerating pace of competition were seen as the most important changes in the operational environment.
The formulation and choice of strategy, goal-setting and monitoring, succession planning, remuneration, support and supervision of management, and follow-up and monitoring the business operations and risk management were seen as the most important board tasks.
The critical success factors are composed of the active role of the board, the ability to work together, a versatile board composition, a broad knowledge and experience base of the members, incentive-based remuneration and sufficient use of time.
The structural factors give the basis to perform the most important tasks, but furthermore, the board of directors should also be able to work together as a group in order to be successful.
Abstract (fin):Useat tekijät, kuten suuret kirjanpitoskandaalit, ovat tuoneet hallitustyöskentelyn 2000-luvulla julkiseen keskusteluun.
Institutionaaliset sijoittajat ja pörssit ovat laatineet ohjeita ja suosituksia yrityksen hyvästä hallinnasta.
Hallitustyöskentelyn vaatimukset ovat samalla kasvaneet.
Tämän tutkimuksen tavoitteena on selvittää, mitkä toimintaympäristön muutokset pakottavat hallituksen miettimään toimintaansa ja rooliaan uudella tavalla, sekä mitkä ovat hallitustyöskentelyn kriittiset menestystekijät ja hallituksen tärkeimmät tehtävät sekä mitkä rakennetekijät ovat yhteydessä hyvään hallitustyöskentelyyn.

Kirjallisuuskatsauksessa eri suositukset ja hallituskirjallisuuden näkemykset ovat antaneet pohjan hallituksen tärkeimmille tehtäville, toimintavoille ja rakennetekijöille.
Kirjallisuudesta on poimittu erityisesti sellaiset rakennetekijät, joilla on korrelaatiolta yrityksen tulokseen ja hallituksen kykyyn selviytyä tärkeimmistä tehtävistään.

Laadullinen empiirinen osuus koostuu kahdesta osasta.
Tarkoitushakuista otantastrategiaa käyttäen valituilta 19:ltä suomalaiselta hallitusammattilaiselta kysyttiin näkemyksiä tutkimuskysymyksiin sekä haastatellen että osallistuvalla oppimiskahvilalla.
Tämän jälkeen hiotulla ja laajennetulla lomakkeella haastateltiin kolmea tapaushallitusta ja siten haettiin vahvistusta tuloksille.

Tutkimustulokset vahvistavat osittain hallituskirjallisuudessa esitettyjä tuloksia, mutta ne painottavat enemmän hallituksen sisäisen yhteistyön merkitystä.
Merkittävimpinä toimintaympäristön muutoksina pidettiin kasvanutta verkostoitumisen tarvetta, globalisaation aiheuttamaa kansainvälisen osaamisen ja kokemuksen tarvetta, sijoittajatahojen ja pörssien tiukentuneita suosituksia ja kilpailun nopeutunutta tahtia.
Hallituksen tärkeimmiksi tehtäviksi koettiin strategian kehittäminen ja valinta, tavoitteiden asettaminen ja seuranta, johdon valinta, palkkaus, sparraus ja valvonta, liiketoiminnan seuranta ja valvonta sekä riskien hallinta.
Kriittisinä menestystekijöinä pidettiin hallituksen aktiivista roolia, sisäistä yhteistyökykyä, monipuolista kokoonpanoa, laajaa osaamista ja kokemusta, kannustavaa palkkausta ja riittävää paneutumista ja ajankäyttöä.
Rakennetekijät luovat edellytykset tärkeimpien tehtävien suorittamiseen, mutta lisäksi hallituksen tulisi kyetä toimimaan yhdessä, jotta se menestyisi tehtävässään.
