Abstract (eng): | This study examines how syndication strategies affect venture capital performance and what kind of moderating effect does prominence have. The research question was addressed through a literature and theoretical review as well as through quantitative analysis. The literature review identifies that there are several motivations for syndication that are linked to each other. Mapping these linkages shows that the desire to improve performance is an important motivator of syndication. Theoretically, it can be shown there is a connection with better financial performance and syndication. It is also identified that previous research has looked at syndication in a black and white manner, without giving necessary focus to different situations in which syndication can occur. In order to address syndication in a more in-depth manner, the study looks at the different investment rounds. Adding the moderating factor of prominence in addition to the possible effect of syndication strategies on financial performance shows that previous research provides foundation for clear hypotheses. The hypotheses derived based on the theoretical review are tested utilizing a data set of US fund investments in 1986-1997. The final sample consists of investments of 266 US mature venture capital funds for the specific years. Buyout funds were excluded. The study shows that syndication improves the financial performance of venture capitalists especially in follow-on rounds; syndicating follow-on rounds has a positive effect on IRR. However, if the venture capitalist investing in the follow-on rounds is prominent, syndication is even more worthwhile for the venture capitalist as this further increases IRR. Consequently, syndicating follow-on rounds by a less prominent venture capitalist has a relatively negative effect on the IRR. Prominence itself has a positive effect on IRR. Even though the study indicates that syndication affects performance positively during first round investments, the effect was not significant. What can said, though, is that syndication is less profitable in the first investment round for a prominent venture capitalist. If a prominent venture capitalist syndicates first round investments, the possible benefit brought by syndication is mitigated. The effect syndication has on IRR will be more positive for venture capitalists that are less prominent. The study suggests interesting further research avenues based on the recognition that syndication should not be treated in a simplistic black and white manner. In order to understand syndication in a more in-depth manner, also the different conditions in which syndication occurs need to be recognized. |
Abstract (fin): | Diplomityö tutkii syndikointistrategioiden vaikutusta pääomasijoitusten tuottavuuteen ja pääomasijoittajan maineen moderoivaa vaikutusta syndikoinnin kannattavuuteen. Tutkimusongelmaa lähestytään kirjallisuuskatsauksen, teoreettisen pohdinnan ja kvantitatiivisen analyysin avulla. Kirjallisuuskatsauksessa tunnistetaan useita toisistaan riippuvia motiiveja syndikoinnille. Riippuvuussuhteita tutkimalla huomataan, että syndikoinnista seuraa sijoitusten parempi tuotto. Teoreettisesti syndikoimisen ja parempien tuottojen välillä on selvä yhteys. Aikaisemmassa kirjallisuudessa syndikoimista on tarkasteltu mustavalkoisesti ottamatta riittävästi huomioon yksittäisten syndikointitapahtumien erityispiirteitä. Tässä työssä syndikointia tutkitaan syvällisemmin tarkastelemalla syndikointia eri sijoituskierroksilla. Kun lisätään maineen moderoiva vaikutus syndikointistrategioiden mahdolliseen vaikutukseen sijoitusten tuottavuuteen, nähdään, että aikaisempi kirjallisuus antaa hyvän pohjan selville hypoteeseille. Teoreettisen tarkastelun pohjalta kehitetyt hypoteesit testattiin käyttämällä tilastotietoja yhdysvaltalaisista sijoituksista vuosilta 1986-1997. Lopullinen otos sisälsi 266 yhdysvaltalaista pääomasijoitusrahastoa kyseisiltä vuosilta. Analyysi osoittaa, että syndikoiminen parantaa pääomasijoitusten IRR-tuottoja erityisesti jatkosijoituskierroksilla. Hyvämaineisilla pääomasijoittajilla tämä positiivinen vaikutus on suurempi kuin tuntemattomammilla pääomasijoittajilla. Maine itsessään vaikuttaa positiivisesti pääomasijoitusten tuottoihin. Tutkimus antaa myös viitteitä siitä, että syndikoinnilla on positiivinen vaikutus ensimmäisten sijoituskierrosten tuottoihin, mutta tämä vaikutus ei ole tilastollisesti merkittävä. Tästä huolimatta tutkimus osoittaa selvästi, että ensimmäisten sijoituskierrosten syndikoiminen on suhteellisesti kannattavampaa tuntemattomille kuin hyvämaineisille pääomasijoittajille. Tutkimus osoittaa, että syndikoimisen syvällisempi tarkastelu mustavalkoisen käsittelyn sijaan tuo mielenkiintoisia alueita lisätutkimukselle. Syndikoitujen sijoituskierrosten erityisominaisuudet tulee ottaa huomioon, jotta syndikoinnin todellisista vaikutuksista saadaan parempi käsitys. |
