Abstract (eng): | Board interlocks have been an intense area of research in the context of publicly listed companies for many decades. In the context of small and medium sized companies (SME) such research has been limited due to issues of data availability, yet the need for such studies has been noted on multiple studies about SME boards in general. By overcoming issues related to data availability this study seeks to answer whether SMEs can use board interlocks as a competitive advantage to achieve above average performance. We seek to identify which performance metrics have relations with board interlocks and whether the structure of the board interlock network has a systematic effect on these relations. The results suggest that board interlocks have more widespread effects on profit change than on revenue growth. However, these effects have opposite directions. A high number of board interlocks has a positive effect on long-term revenue growth, but at the same time having a negative effect on long-term profit change. This suggests that companies are able to use board-level networks to increase their revenue growth above industry average, but at the cost of profits. This implies that utilizing board-level networks as a growth vehicle is most beneficial in situations where revenue growth is more important than profit change, such as rapidly growing markets where increased market share is the most important performance measure. The results do not support one year revenue or profit growth. Thus, the use of board-level networks as a strategic option is limited only to medium and long-term. Due to the limited effect size and low coefficient of determination (R2) in some models, we give suggestions for further studies to identify the relative importance of board's social capital when compared to other possible performance factors. We also propose issues for developing this study further to separate the possible mediation effects from the effects of i the board's network position. |
Abstract (fin): | Hallitukset ja yhteiset hallitusjäsenet (board interlocks) ovat olleet keskeinen tutkimusaihe julkisesti listautuneiden yritysten kohdalla jo useamman vuosikymmenen ajan. Pienten ja keskisuurten yritysten kohdalla vastaavien tutkimusten määrä on ollut vähäistä lähinnä tutkimusaineiston saatavuuden rajallisuudesta johtuen. Näiden tutkimusten tarve on kumminkin huomioitu pk-yritysten hallituksia koskevissa tutkimuksissa. Ratkaisemalla tutkimusaineiston saatavuuteen liittyvät ongelmat tämä tutkimus pyrkii selvittämään voivatko pk-yritykset käyttää hallitusverkostoja kilpailuetuna. Tavoitteena on tunnistaa millä suorituskyvyn mittareilla on systemaattisia vaikuttavuussuhteita hallitusverkostojen ja yhteisten hallitusjäsenien kanssa ja vaikuttavatko yhteisten hallitusjäsenverkoston rakenteen eroavaisuudet näihin suhteisiin. Tulokset viittaavat siihen, että yhteisten hallitusjäsenien muodostamalla verkostolla on laajemmat vaikutukset kannattavuuden muutokseen kuin liikevaihdon kasvuun. Suuri määrä yhteisiä hallitusjäseniä nopeuttaa liikevaihdon kasvua kolmen vuoden aikavälillä. Vaikutus kannattavuuden muutokseen on negatiivinen kahden ja kolmen vuoden aikaväleillä. Näin ollen yritykset voivat hyödyntää yhteisten hallitusjäsenten muodostamaa verkostoa liikevaihdon kasvussa, mutta kannattavuuden kustannuksella. Yhteisten hallitusjäsenten käyttö on hyödyllisintä tilanteissa, joissa liikevaihdon kasvu on tärkein suorituskykymittari, kuten voimakkaasti kasvavilla markkinoilla joissa markkinaosuuden kasvattaminen on ensisijainen tavoite. Tulokset eivät tue yhden vuoden liikevaihdon tai kannattavuuden kasvua. Näin ollen hallitusverkostojen käyttö strategisena välineenä näyttäisi rajoittuvan vain keskipitkälle tai pitkälle aikavälille. Tulosten ennustearvon (effect size) ja selitysasteen (R2) alhaisuudesta johtuen annamme jatkotutkimusaiheita, joiden avulla hallituksen sosiaalisen pääoman merkittävyyttä muiden yrityksen suorituskykyyn vaikuttavien tekijöiden joukossa voidaan analysoida. Annamme myös ehdotuksia tämän tutkimuksen jatkokehittämiseksi, erityisesti mahdollisten välitys vaikutusten (mediation effects) erottamiseksi hallituksen verkostollisesta sijainnista aiheutuvista vaikutuksista |
